How to change the address of a registered office?
The registered office serves as the hub for all business communications within a company. Apart from the registered office, a company may also establish a corporate office, branches, factories, or administrative offices. In India, it is necessary for the registered office to be officially registered with the Ministry of Corporate Affairs. Other branches and offices can be set up by a company without prior notification to the Registrar of Companies (ROC).
The company’s domicile (state of incorporation) in India will be determined by the location of its registered office. The Registrar of Companies (ROC) will be determined based on the state or region where the company’s registered office is situated. If there is a change in the registered office address, the ROC must be notified within 15 days.

This applies when notifying the registered office during incorporation and when any changes occur thereafter in order to confirm the company’s registered office. If the company owns its registered office, a conveyance deed for the property is necessary.
If the registered office is leased or rented, the company must provide the lease deed or rental agreement along with recent rent receipts not older than one month.
If the premises are owned by a director or another individual and not leased by the company, proof of permission for the company to use the premises as its registered office is required. This may take the form of a 'No Objection Certificate' from the owner.
A special resolution must be passed in a general meeting if there is a change in the registered office to a location outside the local jurisdiction of the current office.
A board resolution is required to authorize the director and then submit Form INC-22
Once all forms filed with the MCA receive approval, the process of changing the registered office address is finalized. The company must update the address in various places, including PAN, TAN, bank accounts, other registrations, and licenses, and amend the MOA accordingly.
